Fauquier Health Joins LifePoint Hospitals

oint venture agreement is finalized, bringing Warrenton health system significant resources
to enhance healthcare delivery in Northern Virginia

Warrenton, Virginia (November 1, 2013) – The Fauquier Health Board of Directors and LifePoint Hospitals® have finalized their joint venture agreement to share ownership and operation of Fauquier Health. The joint venture will bring $52.8 million in capital investments to Fauquier Health over the next 10 years and provide more than $100 million to fund a charitable foundation to support crucial community needs.

“Fauquier Health is delighted to finalize this joint venture agreement and become part of the LifePoint family,” said Marshall Doeller, chairman of the Fauquier Health Board. “As part of LifePoint, our health system will gain access to resources and support that will help us thrive in the changing healthcare environment. We look forward to working with the LifePoint team to expand our services and explore ways we can better serve our communities.”

As part of the final agreement, LifePoint will own 80 percent of the newly formed joint venture, and Fauquier Health and the Warrenton community will retain 20 percent ownership. Governance of Fauquier Health will be equally shared between Fauquier Health and LifePoint, and a board with equal representation from both entities is being established to ensure that the community has an active voice in Fauquier Health’s future.

Over the next decade, the joint venture will make significant investments in technology, equipment and other improvements at Fauquier’s facilities.  Fauquier Health’s retained assets and the proceeds from the transaction have eliminated the health system’s debt, and the remaining assets of more than $100 million are being used to create a locally governed charitable foundation to benefit the community.

Proposed joint venture will bring Virginia community health system more than $52 million in capital investments
and more than $100 million to fund a new community foundation


Warrenton, Virginia (September 4, 2013) – The Fauquier Health Board of Directors and LifePoint Hospitals® have signed a definitive agreement to form a joint venture to jointly own and operate Fauquier Health, including the hospital and its related assets. The agreement, which is subject to the review and approval by the Attorney General of Virginia, will provide Fauquier Health support and resources to grow and prosper into the future.

“We are very pleased to take the next step in our potential joint venture with LifePoint Hospitals,” said Marshall Doeller, chairman of the Fauquier Health Board. “This partnership offers our physicians, employees, patients and community tremendous benefits. Joining LifePoint will allow us to have the ability to enhance our services, recruit new physicians, and make investments that will help us better serve our community.”

Under the terms of the definitive agreement, LifePoint would own 80 percent of the joint venture, while Fauquier Health and the Warrenton community would retain a 20 percent ownership stake.  The joint venture would invest $52.8 million in capital improvements over the next 10 years, including investments in new technology, equipment and other improvements.  Additionally, retained assets of Fauquier Health and the proceeds from the transaction would eliminate the health system’s debt, and the remaining assets, in excess of $100 million, would be used to create a locally governed charitable foundation to support crucial community needs.

As part of the agreement, governance of Fauquier Health would be shared equally between Fauquier Health and LifePoint. A board with equal representation from  both entities would be established to ensure that the community has an active and ongoing voice in the strategic direction of the hospital. 

The closing of the transaction is subject to customary closing conditions, in addition to the review and approval of the Attorney General of Virginia. Other specific terms of the agreement are not disclosed.

FAUQUIER HEALTH SIGNS MEMORANDUM OF UNDERSTANDING
TO FORM JOINT VENTURE WITH LIFEPOINT HOSPITALS

Potential partnership will strengthen Virginia hospital and enhance healthcare delivery
in Fauquier County and surrounding regions

 

Warrenton, Virginia (March 5, 2013) – The Fauquier Health Board of Directors today announced it has signed a memorandum of understanding (MOU) to form a joint venture with LifePoint Hospitals®, a leading hospital company focused on providing quality healthcare close to home.  The proposed partnership offers many potential benefits to Fauquier Health and the communities it serves by providing resources and support that will allow Fauquier Health to expand and enhance its services, invest in its facilities and new technology, and improve its efforts to recruit and retain needed physicians.

The MOU is a non-binding agreement that authorizes Fauquier Health and LifePoint to move forward with the necessary steps to pursue the proposed joint venture. Following due diligence and a negotiation process, which will take place over the next few months, the parties would enter into a definitive agreement.  The agreement would then be subject to review by the Attorney General of Virginia before being finalized.    

 

Under the terms of the proposed partnership, Fauquier Health and LifePoint would share ownership and governance of the hospital, with LifePoint obtaining the majority ownership interest. Governance would be shared equally between Fauquier Health and LifePoint, preserving the community’s input into the strategic direction of the hospital and health system.

Dear Community Leaders,

I am delighted to share the news that the Board of Directors of Fauquier Health has signed a memorandum of understanding to form a joint venture with LifePoint Hospitals. More information about this proposed partnership is in the attached press release.

This is an exciting development for us. As a joint venture partner with LifePoint Hospitals, Fauquier Health would have access to the support and resources we need to keep our hospital strong for the future.

As you may know, hospitals across the country, including Fauquier Health, are facing fiscal pressures that are leading many to seek partnerships to help enhance their operations and provide the support and resources needed to succeed and grow in the changing healthcare landscape under healthcare reform. The Fauquier Health Board of Directors has been considering a potential partnership or affiliation since 2009.

Following an extensive search process, we found LifePoint Hospitals to be the ideal partner to allow us to continue our growth.  The company is a leading hospital provider with 57 hospitals in 20 states that specializes in providing quality healthcare close to home.

Our community will benefit in many ways from a partnership between Fauquier Health and LifePoint. The Fauquier Health Partnership Process


·    Hospitals across the country, including Fauquier Health, are facing fiscal pressures, including the lingering effect of the economic recession, increased levels of charity care, significant reductions in Medicare payments, and a challenging regulatory environment that requires costly technological and capital investments. We are only beginning to see the effects of healthcare reform.

·   These pressures are leading many hospitals and health systems to seek partnerships to help strengthen their operations and provide them the support and resources they need to succeed and grow in the changing healthcare landscape. 

·    When we began the process of exploring potential partners in 2009, our Board of Directors established essential criteria for any partner: strengthen the quality of care we provide; improve our financial viability and provide access to capital; collaborate with medical staff; maintain our culture of patient-centered care; assist with confronting the challenges of health care reform; support the community and local economy; and protect employees. ·   Over the next few months, we will undertake a due diligence process with LifePoint to ensure that this partnership is a good fit for Fauquier Health and our community. We will then negotiate the terms of a definitive agreement. 

·    As part of this process, employees, physicians, volunteers will have the opportunity to meet representatives from LifePoint and learn about the organization and how it might work with Fauquier Health.

·    We are committed to open communication and full dialogue with employees, physicians and members of the community during all stages of this process.  We understand that you have questions, and we will do our best to answer what we can now and continue that communication in the coming weeks as we learn more. 

·    Completion of our agreement with LifePoint will require review by the Attorney General of Virginia.

Impact on the Community

 

·    The community will benefit in many ways from a Fauquier Health partnership with LifePoint. While LifePoint will bring expertise and capital to the equation, it will also allow a continuation of the patient-centered care that our community has come to expect.
 
·    Fauquier Health will have access to capital to invest in new technology and services to better serve the healthcare needs of our communities. 

·    LifePoint understands that the community has a vested interest in our hospital.  Because Fauquier Health will share ownership with LifePoint and governance of the hospital will be shared equally with LifePoint, we can ensure that the community will have an equal and continuing voice in the operation of the hospital. 

·    Proceeds from the transaction would be used to fund a local charitable foundation that would support crucial community health needs. This foundation would be led by a local board comprised of community representatives.
